These Terms of Use (“Terms”) govern your access to and use of the services offered by Beauty Lounge Med Spa, Inc. (“Beauty Lounge”, “we”, “us”, or “our”) through our website and any related applications (collectively, the “Service”). Our services support skin health, weight management, hormone optimization, and overall well-being. Some features and benefits of our services may require an active membership or subscription.

Beauty Lounge Med Spa offers a wide range of aesthetic treatments and wellness services, including but not limited to:

  • Injectables (e.g., Dysport/Daxxify, Restylane Filler, RHA Filler, Vitamin & Peptide Injections)
  • Treatments (e.g., Facials, Laser Hair Removal, Lucent IPL, Microchanneling, Microneedling, Sculptra)
  • Wellness services (e.g., Weight Loss programs, Vitamin & Peptide Injections)

1.2 Eligibility

Our services are intended for adults 18 years or older. We do not provide services to individuals under 18. Our offerings are not a replacement for medical care, and we reserve the right to decline or discontinue service if we believe medical oversight is required. Always consult with your physician before beginning any health-related program. At the time of this publishing, we currently only provide services to CA residents. This does not include the shipping of our skincare products.

1.3 Profiles (If Applicable)

If you create an account or profile to access certain features of the Service, you agree to provide accurate and truthful information. We do not independently verify profile information submitted by users.

1.4 Wellness & Nutritional Information

We may provide general information related to wellness, nutrition, or supplements. While we strive for accuracy, this information is for educational purposes only and should not be taken as medical advice. Use discretion before relying on any content, and consult a healthcare provider with specific questions.

1.5 No Medical or Provider Relationship

Beauty Lounge Med Spa, Inc. is not a licensed medical practice. Information or services provided by our staff, website, or wellness content is not a substitute for professional medical advice, diagnosis, or treatment. In the case of a medical emergency, call 911 immediately.

1.6 Communications & Messaging

We may contact you via email, SMS, or phone as part of our services, appointment reminders, promotions, or updates. Standard message and data rates may apply. By providing your contact information, you consent to receive communications from us, including recurring text messages, which may be sent via automated technology. You may opt out at any time by replying STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. Message frequency may vary. We are not liable for delayed or undelivered messages due to carrier issues. If your mobile number changes, you agree to unsubscribe from our messaging services before registering your new number.

1.7 Service Updates

We may update or modify our Service at any time. This may include adding or removing features or temporarily suspending services. We are not responsible for any inconvenience or impact resulting from such updates.

1.8 Generative AI Disclaimer

If our site or service uses AI-generated content (e.g., educational tools, suggestions, or messaging), please note that such content may be inaccurate or not reflect the views of Beauty Lounge Med Spa, Inc. Do not rely on AI-generated content for medical, legal, financial, or professional advice—it is for general informational purposes only.

2. Your Responsibilities

2.1 Account Use & Security

You are solely responsible for all activity conducted under your account. Each account is meant for individual use only — please do not share your login or password with others. If you suspect unauthorized access or a security issue, notify us immediately. We reserve the right to suspend or terminate any account if we believe the information provided is false, misleading, outdated, or incomplete. Do not create an account on behalf of someone else or use a false identity.

2.2 Linked Accounts

You may choose to connect your Beauty Lounge account to a third-party service or application. If you do, it’s your responsibility to ensure that such linking complies with that third party’s terms and conditions. Any data pulled from a linked third-party service is considered part of your user content and will be handled in accordance with our [Privacy Policy].

2.3 Limited License

All content and technology used in connection with the Service is protected by copyright and intellectual property laws. Provided you maintain an active account and follow these Terms and any applicable policies, we grant you a limited, non-exclusive, non-transferable, and revocable license to use the features of the Service included in your subscription (including any applicable add-ons) during your subscription term.

3. Your Content

3.1 What You Provide

Beauty Lounge Med Spa, Inc. may allow you to post or share content, such as photos, comments, testimonials, links, or other materials through our website, social platforms, or related services. This is collectively referred to as “User Content.”
You retain ownership of your User Content and are solely responsible for anything you choose to post, share, or make available through the Service.

3.2 How We Use It

By submitting or sharing User Content, you grant Beauty Lounge Med Spa, a non-exclusive, royalty-free, perpetual, irrevocable, transferable, sub-licensable, and worldwide license to use, reproduce, store, modify, adapt, publish, display, perform, translate, distribute, and create derivative works from your content for any lawful purpose, including marketing and promotional use.
This license allows us to feature or adapt content you provide across platforms and channels associated with Beauty Lounge.

We reserve the right to remove, edit, or decline to use any User Content at our discretion—particularly if we believe it violates these Terms, any applicable laws, or our community and brand guidelines.

4. Intellectual Property

4.1 Ownership of the Service

Except for the User Content you contribute, you acknowledge that Beauty Lounge Med Spa, Inc. owns all rights, title, and interest in and to the Service, including all content, features, functionality, design elements, and proprietary technology. You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices found within or associated with the Service.

4.2 Trademarks

All logos, branding, service names, graphics, and trade names associated with Beauty Lounge Med Spa, Inc., including the Beauty Lounge name and logo, are trademarks or registered trademarks owned by us. These may not be used in any manner—commercial or otherwise—without our prior written consent.

4.3 Feedback

We always appreciate your ideas, testimonials, and suggestions to help improve our services. By voluntarily submitting any feedback, comments, or ideas (“Feedback”) to Beauty Lounge Med Spa, Inc., you grant us the right to use that Feedback for any purpose, including service improvements, marketing, and development. All such Feedback becomes the sole property of Beauty Lounge Med Spa, Inc., and you agree to assign any rights you may have in that Feedback to us without expectation of compensation or acknowledgment.

5. Content Removal

5.1 Content Moderation

While we welcome user-generated content, Beauty Lounge Med Spa, Inc. is not responsible for User Content submitted by others. We are not obligated to review or pre-screen content, but we reserve the right to remove or modify any User Content at our sole discretion, for any reason or no reason at all.

If you come across content that violates our Terms, policies, or community standards, please report it to us at legal@beautyloungemed.com.

5.2 Intellectual Property Infringement

We respect intellectual property rights and take infringement seriously. It is our policy to remove or disable access to content that infringes upon the copyrights, trademarks, or intellectual property of others and to terminate access for repeat offenders upon valid notice.

If you believe that your intellectual property has been used on our Service in a way that constitutes infringement, please submit a notice including:

  • A physical or electronic signature of the authorized person acting on behalf of the IP owner
  • A description of the copyrighted work, trademark, or other IP being infringed
  • The location (URL or direct link) of the allegedly infringing content on our Service
  • Your contact information: full name, address, phone number, and email
  • A statement of good faith belief that the disputed use is unauthorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the IP owner

6. Fees and Purchase Terms; Automatically Renewing Subscriptions

6.1 Definitions

  • Billing Period: The recurring time interval tied to your subscription (e.g., monthly, quarterly) as indicated at sign-up.
  • Day/Date: Refers to a calendar day starting at 12:00 a.m. and ending at 11:59 p.m. Pacific Time.

6.2 Service Options

You may choose from a variety of service tiers, packages, or membership plans (each, a “Service Tier”). Each tier may have different pricing, features, or limitations, which will be disclosed at sign-up or purchase. Add-ons or upgrades may also be offered separately.

6.3 Free Trials and Promotions

  • Free Trials: If your subscription begins with a free trial, billing will begin automatically once the trial ends unless canceled beforehand. You will not receive a separate reminder unless required by law.
  • Promotions: From time to time, we may offer promotional pricing or bundled services. After the promotion ends, your billing will continue at the standard rate unless you cancel.

6.4 Auto-Renewal Policy

All subscriptions renew automatically at the end of each Billing Period unless canceled in advance. You are responsible for managing your subscription and for canceling it before your next billing cycle to avoid future charges. Charges may be prorated for partial periods if stated at checkout. You are also responsible for any third-party internet fees or taxes associated with your use of the Service.

6.5 Price Changes

Beauty Lounge Med Spa, Inc. reserves the right to update pricing, billing methods, or refund policies at any time, with notice if required by applicable law. Continued use of the Service after a price change constitutes acceptance. If you do not wish to continue, you must cancel your subscription before the next billing cycle.

6.6 Canceling Your Subscription

You may cancel your subscription at any time through your online account. Cancellation takes effect at the end of your current billing period or trial. No partial-period refunds will be issued unless otherwise stated in a specific promotion or determined at our discretion.

If subscribed through a third party (e.g., Apple App Store or Google Play), please cancel through that provider directly.

6.7 California Residents – Right to Rescind

If you reside in California, you may cancel your subscription without penalty within three (3) business days from the date of purchase (excluding Sundays and holidays). To do so, submit a signed and dated cancellation notice to:

Upon receipt, your access to the Service may be terminated immediately.

6.8 Payment Methods

You must provide a valid form of payment (e.g., credit card, PayPal, or Stripe) at sign-up, unless subscribing through an App Store. You authorize us to charge your chosen payment method for applicable fees, including renewals and taxes.

If your payment fails, we reserve the right to retry billing or suspend access to the Service. You are responsible for keeping your billing information current and for all amounts owed, including any costs related to collection or chargebacks.

6.9 Third-Party Subscriptions

If you subscribed via an external platform (e.g., Apple App Store or Google Play), your billing relationship is directly with that third party and their terms govern your subscription. Please follow the cancellation instructions provided by the respective app store.

6.10 Add-Ons

We may offer optional add-ons, such as enhanced services or specialty treatments. These may be billed as one-time purchases or recurring charges and are subject to terms presented at the time of purchase.

6.11 Taxes

Prices shown exclude sales or use taxes unless otherwise stated. You are responsible for any taxes associated with your subscription. Where applicable, we will collect and remit taxes in accordance with local regulations. Taxes may vary based on your billing address and will be updated automatically at renewal.

6.12 Refund Policy

Except where legally required or expressly stated in a promotional offer, all payments are non-refundable. California residents may seek a refund as described in Section 6.7. Refunds outside of that are granted only at the sole discretion of Beauty Lounge Med Spa, Inc.

7. Indemnification

You agree to indemnify, defend, and hold harmless Beauty Lounge Med Spa, Inc., its affiliates, employees, contractors, directors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • (a) Your use or misuse of the Service
  • (b) Any content you submit, post, or share (User Content)
  • (c) Your violation of these Terms or any other applicable policies
  • (d) Your infringement of another party’s rights, including other users
  • (e) Your violation of any law or regulation

This indemnity obligation will survive the termination of your account and will remain in effect regardless of any updates or changes to these Terms or our services.

9. Disclaimers

9.1 Service Provided “As Is”

To the fullest extent permitted by applicable law, you agree that your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis without warranties of any kind.

Beauty Lounge Med Spa, Inc. expressly disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

This section does not alter our return or exchange policy for physical products or retail items.

Specifically, we do not guarantee that:

  • (1) The Service will meet your expectations or health goals
  • (2) Use of the Service will be uninterrupted, secure, or error-free
  • (3) Any errors or defects will be corrected
  • (4) The Service or servers are free of viruses, malware, or other harmful components
  • (5) Results from using the Service will be permanent, accurate, or reliable

Downloaded or Accessed Content

Any content or materials downloaded through the Service are accessed at your own risk. You are solely responsible for any damage to your device, data loss, or other issues resulting from such use.

No Additional Warranties

No advice or information—whether verbal, written, online, or in person—obtained through the Service or from Beauty Lounge Med Spa, Inc. will create any warranty not expressly stated in these Terms.

9.2 No Liability for Third Parties

You acknowledge that Beauty Lounge Med Spa, Inc. is not responsible for the actions, services, or content of any third-party providers, including links to external websites or any third-party services (such as payment processors, referral platforms, or wellness partners). Any risk from engaging with third-party services rests solely with you. We make no warranties regarding the quality, safety, or legality of third-party goods or services.

10. Limitation of Liability

10.1 Disclaimer of Damages

To the fullest extent permitted by law, Beauty Lounge Med Spa, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to, loss of profits, revenue, data, goodwill, or other intangible losses resulting from:

  • (a) Your use of or inability to use the Service
  • (b) The actions or content of any third party through the Service
  • (c) Unauthorized access to, use of, or alteration of your transmissions or content

10.2 Liability Cap

To the extent permitted by law, our total liability to you will not exceed the greater of:

  • (a) The total amount you paid to Beauty Lounge Med Spa, Inc. in the twelve (12) months prior to the claim,
  • (b) One hundred dollars ($100), or
  • (c) Any statutory damages required by applicable law.

This limitation applies regardless of the number of claims you bring.

10.3 Severability

If any provision of this limitation of liability is found to be unenforceable, the remaining provisions will still apply to the maximum extent permitted by law.

10.4 Jurisdictional Exclusions

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such cases, the above limitations may not apply to you, and you may have additional rights under local law.

10.5 Time Limits on Claims

To the fullest extent permitted by law, any claim or action arising from your use of the Service must be initiated within two (2) years from the date the underlying event occurred. Claims filed after this period are permanently barred.

10.6 Basis of the Bargain

The limitations outlined in this section are essential to the agreement between you and Beauty Lounge Med Spa, Inc. Without these limitations, the services could not be provided at their current pricing and structure.

11. Safety and Enforcement

At Beauty Lounge Med Spa, Inc., the safety, security, and integrity of our community is a top priority. If we believe it is necessary, we reserve the right to take appropriate action, which may include:

  • Disclosing your identity, User Content, or related data to third parties such as law enforcement
  • Pursuing legal remedies
  • Restricting or terminating your access to the Service

12. Termination

12.1 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without notice or cause, and without liability.

12.2 Termination by You

You may terminate this Agreement by canceling any active subscriptions and deleting your account.
Important: Your subscription will automatically renew unless you cancel it before the end of the current billing cycle.

12.3 Provisions That Survive Termination

The following sections will remain in effect after termination of your account or this Agreement:
Sections 1.7, 3.2, 4, 5, 7–14, and any other provisions that are intended by their nature to survive termination.

13. Dispute Resolution

13.1 Agreement to Arbitrate

To the fullest extent permitted by law, you and Beauty Lounge Med Spa, Inc. agree to resolve any dispute, claim, or controversy arising out of or relating to this Agreement, your use of the Service, or the relationship between you and us (collectively, “Disputes”), through binding arbitration rather than in court, except as otherwise provided in this section.

Arbitration is more informal than a lawsuit in court and uses a neutral arbitrator instead of a judge or jury. It also generally allows for more limited discovery than court proceedings.

This agreement to arbitrate includes disputes based on contract, tort, statute, fraud, misrepresentation, or any other legal theory. You understand and agree that, by entering into this Agreement, you and Beauty Lounge Med Spa, Inc. are each waiving the right to a trial by jury or to participate in a class action.

13.2 Exceptions to Arbitration

The following types of claims are not subject to mandatory arbitration:

  • Claims brought in small claims court
  • Claims seeking only injunctive or other equitable relief for alleged infringement or misuse of intellectual property rights

13.3 Opt-Out Procedure

You may opt out of this arbitration provision within 30 days of first accepting this Agreement by sending a written notice to:

Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out of arbitration does not affect any other part of this Agreement.

13.4 Arbitration Rules and Forum

The arbitration will be conducted by a single arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA), unless otherwise agreed by both parties. You may choose to have the arbitration conducted by telephone, video conference, or based solely on written submissions, subject to the arbitrator’s discretion.

The arbitration will be held in Santa Cruz County, California, or another mutually agreed-upon location.

13.5 Class Action Waiver

You and Beauty Lounge Med Spa, Inc. agree that any proceedings to resolve Disputes will be conducted only on an individual basis. Neither party may bring or participate in any class action, class arbitration, or representative action or proceeding. The arbitrator may not consolidate the claims of multiple individuals or preside over any form of representative or class proceeding.

13.6 Governing Law

This Agreement, and any Dispute arising out of or related to it, will be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict of law principles.

13.7 Limitation on Claims

To the fullest extent permitted by law, you must initiate any Dispute within two (2) years of the event giving rise to the claim. If not filed within that time, the claim is permanently barred.

13.8 Confidentiality

Any arbitration proceeding will remain confidential, including the existence of the dispute, any information disclosed during the arbitration, and the outcome, except as may be required by law or necessary to enforce the arbitration award.

13.9 Severability

If any portion of this dispute resolution section is found to be unenforceable or invalid, that specific portion shall be severed, and the remainder of this section shall remain in full force and effect.

14. Class Action Waiver & Jury Trial Waiver

To the fullest extent permitted by applicable law, you and Beauty Lounge Med Spa, Inc. agree that:

  • Any legal proceeding — whether in arbitration or in court — must be conducted solely on an individual basis.
  • Class, collective, consolidated, private attorney general, or representative actions are not permitted.
  • You and we expressly waive any right to bring or participate in any such action in any forum.

This waiver includes all claims or disputes related to the Service, your account, this Agreement, or your relationship with us.

Despite the foregoing, both parties retain the right to participate in a class-wide settlement, if applicable.

Additionally, you and Beauty Lounge Med Spa, Inc. waive any right to a jury trial, choosing instead to resolve disputes through arbitration or bench trial where permitted.

17. General Provisions

17.1 Effective Date

These Terms are effective as of the date posted below and remain in full force and effect while you use the Service, unless terminated earlier in accordance with this Agreement.

17.2 Force Majeure

Beauty Lounge Med Spa, Inc. is not liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, government restrictions, natural disasters, pandemics, internet or telecommunications failure, or labor disputes.

17.3 Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement at any time without restriction. If such an assignment occurs, you may terminate the Agreement by deactivating your account. We will provide reasonable notice in the event of an assignment.

17.4 Choice of Language

It is the express intention of all parties that this Agreement and all related communications be written in English. We do not offer the Agreement in other languages at this time.

17.5 Notice

When you sign up for the Service, you agree to provide a current, valid email address for communications. If our notice to you is undeliverable for any reason, it will still be considered effective as long as it was sent to the most recent address on file.

17.6 Waiver

Our failure to enforce any part of this Agreement will not be deemed a waiver of our right to enforce that or any other part of the Agreement at any time.

17.7 Severability

Except as otherwise provided in Section 13 (Dispute Resolution), if any provision of this Agreement is found to be unenforceable, it will be modified to reflect the parties’ original intent, and the remainder of the Agreement will remain in full force and effect.

17.8 Export Compliance

You agree not to use, export, re-export, or transfer the Service except as authorized under U.S. law and any applicable local laws. The Service may not be exported into countries subject to U.S. embargo or to individuals on U.S. government watchlists. By using the Service, you represent that:

  • You are not located in a country subject to a U.S. embargo
  • You are not on any U.S. government denied-party list
  • You will not use the Service for any prohibited purposes (e.g., weapons development)

17.9 California Consumer Complaints

Under California Civil Code §1789.3, California residents may file complaints with the Complaint Assistance Unit of the Division of Consumer Services, Department of Consumer Affairs:

17.10 Entire Agreement

This Agreement constitutes the entire understanding between you and Beauty Lounge Med Spa, Inc. regarding the Service and supersedes all prior agreements or understandings. If supplemental terms apply to specific Service features, and there is a conflict between those and this Agreement, these Terms will govern.
